Forming a Company In Cayman Islands

When I tell my friends that I am now living and working in the Cayman Islands, many of them inevitably ask how easy it is to form a company in this tax-free haven. I got tired of explaining the whole company formation thing so I decided to blog about it and then refer them to this blog. In fact, this is now true of any subject I am asked about on the Cayman Islands. Anyway here goes…

There are over 40,000 companies registered in the Cayman Islands, anybody but anybody can register a company in the Cayman Islands as long as that company does not do business in the Cayman Islands. (If you want to do business in the Cayman Islands, then you have to go through a whole vetting process with the investment authorities in Cayman Islands).

In addition to the speed of processing, other advantages of registering a company in the Cayman Islands include the following:

  • There is a complete absence of direct taxation i.e corporation, capital gains, payroll, property or withholding taxes.
  • There is protection of the legitimate interests of clients. Except where assistance to law enforcement agencies is mandated or authorized, disclosure of information by government officials, professional agents, attorneys and accountants and their staffs is forbidden by law under severe penalties.
  • There are very minimal reporting requirements.
  • You can form a company with only one shareholder, with no minimum capitalization requirements.

Remember if your intended business will be conducted mostly outside of the Cayman Islands, then within 10 days maximum you can form a Cayman Islands Exempt Company.

In order to form an Exempt company, you need to submit a Memorandum and Articles of Association and registration fee to the Registrar of Companies, together with a sworn statement declaring that the business activities of the proposed company will be undertaken mainly outside the Cayman Islands. The names and addresses of the proposed first directors must be disclosed to the Registrar.

The Exempt Company cannot trade within the Cayman Islands, own real estate in the Cayman Islands and cannot undertake the business of banking, insurance business or mutual fund business unless licensed. It also cannot solicit funds from the public.

  1. Hi I can’t tell you how pleased I was to see this pop up on a search. I’ve been looking to get a straightforward answer to this question for a while now. I am interested though in the vetting process and information on how exactly it works as I more than likely will be a resident in a few months and would like to start up my company (subject of course to related requirements and restrictions). The alternative would be to register the company in my home country and operate out of the cayman. My question then is is that allowed in terms of opening a bank account in the cayman and owning property etc?

  2. Hi Darren

    Not knowing your specifics (I will send you my private email details if you want to talk specifics), what i do know is that if you want to open a company that will trade within the Cayman Islands, it will be a longer process and you may have to find Caymanian partners. In terms of opening a bank account as a foreign company, you can open a bank account in Cayman anytime you want, just make sure you have a good reference letter from your existing bank, proof of income and your company documents. As far as I know, there is no restriction in owning property in Cayman Islands as a foreign company - I will have to check on this, but if you can own property as a foreigner then you should be able to do so as a foreign company.

    I’m looking to buy a vacation property as a rental/investment property on Grand Cayman. I will have to get investment money for this venture, mostly from other U.S. citizens. I’m thinking forming a Caymanian company/limited partnership? to purchase the property and get it fixed up. Do you have any thoughts or recommendations on that?

    I am sorry to get back to you so late, I had taken a bit of a vacation in Jamaica. Anyway I am back in Cayman.

    If the investment money for the property is coming from several sources then it is probably better that you form a company here in the Cayman Islands. Each shareholder will then have fractional ownership of the property and can sell their shares at any given time they feel like.The simplest way of achieving fractional ownership is to form a local (Cayman Islands) company with a limited number of shareholders. Then, a property is purchased in the name of the company. In order to set up a company that will do business in Cayman Islands I suggest you get a good lawyer as the process is quite onerous. If you were setting up a company here in Cayman that would only do business outside of Cayman then that would be a walk in the park.

    I think if you can pull it off, definitely go for it. From what I have seen, property here in the Cayman Islands will see tremendous growth from an investment perspective in the foreseeable future.

    I am doing a degree intitled tax avoidance through offshore financial centers and this is the first site with real informaton how to set up a business in cayman islands. So i have a question/request. Could you please give me an hypothetical example (but with numbers) how would a onshore company avoide taxes through cayman islands.

    I do have a quick question..maybe you could email me so we could chat… Do they have the proper forms needed to register available online? Also, as an accountant do you know if it is possible or allowable to form a NPO as a foreign corp. ?
